Roehampton Corporate Initiative Limited Online Store

1.         Agreement between the parties

Roehampton Corporate Initiative Limited (RCIL) shall supply the goods and services listed on the RCIL stores website: https://estore.roehampton.ac.uk/default.asp?compid=18 (the Store) on the following terms and conditions (the Contract). By ordering any of the goods or services on the Store, you (the Buyer) are deemed to have accepted and agreed to be bound by this Contract. Unless otherwise agreed in writing, these terms and conditions are the only conditions upon which RCIL is prepared to supply the goods or services to the Buyer. RCIL has to right to revise and amend these terms and conditions from time to time without notice. These terms and conditions will be governed by English Law. The English Courts will have exclusive jurisdiction to deal with any dispute which may arise out of or in connection with the Contract.  In no event will RCIL be held liable for anything whatsoever arising out of the use of any websites linked to the Store, or the materials or information contained on any such sites, whether based on warranty, contract, tort or any other legal theory.

2.         Cancellations / Returns

The Buyer may cancel a Contract at any time within seven (7) working days, beginning on the day after they received the goods or services.  In this case, the Buyer will receive a full refund of the price paid for the goods or services, excluding delivery costs, in accordance with RCIL's refunds policy (set out in clause 14 below). 

To cancel a Contract, the Buyer must inform RCIL in writing and return the Goods to them immediately, in the same condition in which they received them, and at their own cost and risk. The Buyer is legally obliged to take reasonable care of the goods while they are in their possession and if they fail to comply with this obligation RCIL may have a right to take action against them.

The rights outlined in clauses 2 above, however, do not apply to the supply of the following:

(i) food beverages, perishables or any other goods intended for everyday consumption;

(ii) items made to the Buyers specification or which are clearly personalised;

(iii) goods which by reason of their nature cannot be returned or are liable to expire rapidly;

(iv) services, if the supply has already commenced with the Buyers agreement; or

(v) audio or video recordings or computer software if they are unsealed.

 3.         Card Security / PCI DSS

RCIL takes data security extremely seriously and understands the need to adhere to the strictest levels of checking and auditing around storing and transferring cardholder data.

All payment details are automatically encrypted when they are entered. The Store is secured using a Thawte SSL Web Server Certificate to offer secure communications by encrypting all data to and from the Store.

As part of the global Payment Card Industry Data Security Standard (PCI DSS), we at Roehampton have been working closely with our partner WPM and our acquirer Barclaycard to provide our customers with a secure payment network. We are fully compliant with the PCI DSS and we re-validate our compliance every year.

4.         Data Protection

The data that the Buyer provides during a transaction will only be used for the purpose of recording their payment. RCIL will abide by the principles of the Data Protection Act 1998 and ensure that the data is used for no other purposes and is disclosed to no third party.

5.         Delivery and Collection

The Buyers order constitutes an offer to RCIL to buy the goods or services.  All orders are subject to acceptance by RCIL, and they will confirm such acceptance by sending an e-mail confirming the order (Order Confirmation).  The Contract will only be formed once an Order Confirmation has been sent from the Store. RCIL shall then supply or otherwise procure the supply of the goods and services.  

Goods

Any date specified by RCIL for delivery/collection of the goods is intended to be an estimate, and delivery will be within a reasonable time of the Order Confirmation.  If due to exceptional circumstances RCIL is unable to fulfil the Buyers order within a reasonable time period, they will email or contact them to let them know.

In these terms and conditions, the Delivery Address means the delivery address specified in the personal details the Buyer has supplied. Collection Point means the designated site as detailed in the instructions on the Store.

The quantity of any consignment of goods as recorded by RCIL upon despatch shall be conclusive evidence of the quantity received by the Buyer on delivery unless they can provide conclusive evidence proving the contrary.

RCIL shall not be liable for any non-delivery of goods (even if caused by their negligence) unless written notice is given to them within five (5) days of the date when the goods would, in the ordinary course of events, have been received.

Any liability RCIL has for non-delivery of the goods shall be limited to replacing the goods within a reasonable time, to providing a full refund or issuing a credit note at the pro rata contract rate against any invoice raised for such goods.

If for any reason the Buyer will not accept the delivery of the goods when they are ready for delivery, or because RCIL is unable to deliver the goods on time because the Buyer has not provided appropriate instructions or the Buyer has not collected the goods from the collection point:
(i)Ownership of the goods will pass to the Buyer
(ii)The goods will be deemed to have been delivered; and
(iii)RCIL may store the goods until delivery/collection , whereupon the Buyer will be liable for all related costs and expenses including, without limitation, storage and insurance.

Services

The services shall be provided on the date specified on the Store for that particular service. If RCIL should have to postpone a service, they shall notify the Buyer as soon as possible and provide them with a new date for the delivery of the service. If RCIL should have to cancel the service, they shall provide the Buyer with a full refund.

6.         Distance Selling

This clause only applies if RCIL has communicated to the Buyer exclusively by distance means, for example, via information displayed on the Store or email, and they have not met prior to entering into the Contract.

(i)   The name of the supplier is Roehampton Corporate Initiative Limited and the address for matters in connection with this Contract is Harvey Building, Roehampton Lane, London. SW15 5SZ. To contact RCIL about a matter relating to the Store or the Contract please email [email protected]

(ii)  When purchasing goods and services from the Store, the Contract will commence between the Buyer and RCIL, and both parties will be bound by the terms and conditions detailed in this Contract.

 7.         Force Majeure

RCIL reserves the right to defer the date of delivery or to cancel the Contract for all circumstances beyond its reasonable control, including but not limited to any strike, lockout, disorder, fire, explosion, accident or stoppage, which affects their business or work and which prevents or hinders the delivery of the goods or the performance of the services.

8.         Financial Liability

These terms and conditions constitute the entire financial liability of RCIL (including any liability for acts or omissions of its employees, agents and sub-contractors) to the Buyer in respect of:
(i)Any breach of these terms and conditions; and
(ii)Any representation, statement or negligent act or omission, including negligence arising under or in connection with the Contract.
(iii)RCIL's total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise arising in connection with the performance or contemplated performance of the Contract will be limited to the price of the goods/services; and
(iv)RCIL will not be liable to the Buyer for any loss of profit, loss of business or depletion of goodwill nor for any indirect or consequential liability, loss or damage, which arises out of or in connection with the Contract.

9.         Goods/Services specific terms and conditions

Goods and Services offered for sale through the Store may be subject to specific terms and conditions in addition to those detailed here. Please see each item for further details where relevant.

10.     Notices

When using the Store, the Buyer accepts that communication with RCIL will be mainly electronic.  RCIL will contact the Buyer by e-mail or provide them with information by posting notices on the Store.  For contractual purposes, the Buyer agrees to this electronic means of communication and they acknowledge that all contracts, notices, information and other communications that RCIL provide to them electronically comply with any legal requirement that such communications be in writing. 

RCIL will give notice to the Buyer at the e-mail address they provide when placing an order.  Notice will be deemed received and properly served immediately when posted on the Store and 24 hours after an e-mail is sent. 

11.     Payments

RCIL does not accept liability for a payment being allocated incorrectly as a result of incorrect details being provided. RCIL does not accept any liability if a payment is refused or declined by the card issuer for any reason. It is not the responsibility of RCIL to bring this to the Buyers attention.

12.     Price of Goods and Services

Unless otherwise agreed by RCIL in writing, the price for the Goods will be the price as displayed on the Store. That price is subject to the addition of all costs or charges in relation to postage carriage and insurance, where applicable. Payment must be received in advance in all transactions and ownership of the goods or services will not pass until RCIL has received cleared payment.

Prices are liable to change at any time, but changes will not affect orders in respect of which RCIL has already sent an Order Confirmation.

The Store contains a large number of goods and services and it is always possible that, despite RCIL's best efforts, some of the goods or services listed on the Store may be incorrectly priced.  RCIL are under no obligation to provide the goods or services to the Buyer at the incorrect (lower) price, even after they have sent an Order Confirmation, if the pricing error is obvious and unmistakeable and could have reasonably been recognised as mispricing.

13.     Quality

RCIL confirms that (subject to the other provisions of these terms and conditions) upon delivery the goods will be of satisfactory quality within the meaning of the Sale of Goods Act 1979.

RCIL will not be liable for a breach of this Condition unless:
(i)The Buyer gives written notice of the defect to RCIL, and (if the defect is as a result of damage in transit to the carrier, within fourteen (14) days after the time when the Buyer discovers or ought to have discovered the defect; and
(ii)RCIL is given reasonable opportunity after receiving the notice to examine the goods, and the Buyer (if asked to do so by RCIL) returns the goods at the Buyer's cost, for examination to take place there.

RCIL will not be liable for a breach if:
(i) The Buyer makes any further use of the goods after giving notice; or
(ii) The defect arises because the Buyer failed to follow RCIL's instructions as to storage, installation, commissioning, use or maintenance of the goods or (if there are none) good trade practice; or
(iii) The Buyer alters or repairs the goods without the consent of RCIL.

14.     Refunds

Refunds will be made as soon as possible following cancellation and in any case will be authorised within thirty (30) days of the day of notice of cancellation.

Refunds, if applicable, will only be made to the debit/credit card used for the original transaction.

Please note that delivery charges are non refundable in the event of an unwanted item being returned.

15.     Warranties, conditions and other implied terms

All warranties conditions and other terms implied by statute or common law (save for conditions implied by section 12 of the Sale of Goods Act 1979) is, to the fullest extent permitted by law, excluded from the Contract. RCIL does not represent or warrant that the information accessible via this website is accurate, complete or current.
